I consent that this idea proposal is submitted (147) and without expectation of compensation. You are (148) to consider and use it without obligation to me for its consideration and use. This agreement, and the relationship established hereunder, shall be interpreted and construed in (149) with the internal laws of the State of New York, without regard to its principles of conflicts of laws, and with the same force and effect as if fully executed and performed therein. Any prior negotiations or agreements are merged into and superseded by the terms of this agreement, which may not be modified or waived except in writing signed by a company Officer of the company' s Chief Patent Counsel.
